Supplier Terms, Conditions, and Flow Downs

Minter Industries LLC Terms, Conditions, and Flow Downs:

-Unless other specified, the acceptable delivery window for goods and services performed is 7 days early and 0 days late (to the delivery schedule contained in the body of this purchase order).

-All shipments of physical product shall be executed in a manner that is commercially reasonable, and that provides sufficient protection from damage.

-All supplier invoices shall be submitted to Minter Industries LLC via physical hard copy, or electronic copy.

-All good and services ordered by Minter Industries LLC are subject to inspection and verification to ensure the requirements of this purchase order are met, in it's entirety.

-By acceptance of this purchase order, the supplier is acknowledging that Minter Industries LLC, their customer, and regulatory authorities have right of access to the applicable areas of the supplier, including facilities and documented information, at any level of the supply chain.

-In the event a stop work order is issued by Minter Industries LLC, supplier shall stop all work and not move forward until authorized to do so in writing.  

-The supplier shall take every precaution necessary to protect any proprietary information of Minter Industries LLC and their customers.  No Minter Industries LLC supplied engineering or other proprietary information shall be forwarded to other parties without the express written consent of Minter Industries LLC.

-The supplier is responsible for complying with all required local, state, and federal (or other) regulatory requirements.

-Minter Industries LLC measures supplier performance for Quality and On-Time Delivery.  If the supplier has any questions about their performance on the statement of work with Minter Industries LLC, reach out to the point of contact on this purchase order.

-Unless otherwise specified, the use of statistical techniques for product acceptance is not allowed.

-If product intended for delivery to Minter Industries LLC is found to be nonconforming, the supplier shall immediately take containment action, notify Minter Industries LLC in writing, and await formal disposition.

-The supplier shall take measures to prevent the use of counterfeit parts.

-The supplier shall take measures to ensure its products are free of Foreign Object Debris (FOD). This includes the prevention, detection, and removal of FOD throughout all processes, handling, and delivery of products.

-Minter Industries LLC’s suppliers’ contributions are critical to product conformity, service conformity, and product safety.  Equally as important is Minter Industries LLC’s suppliers’ responsibility to engage in ethical behavior.

-The supplier shall provide a Certificate of Conformance (C of C) and all applicable material certifications, test reports, and special process certifications with each shipment. Certifications shall accompany the shipment in hard copy form unless otherwise specified on this purchase order. Certifications shall be complete, legible, and traceable to the delivered product.

-No parts shall be stamped unless specifically authorized in the Statement of Work on this Purchase Order. Unless otherwise specified, the supplier shall not permanently mark, stamp, engrave, etch, laser mark, vibratory mark, or otherwise alter the product for identification purposes. When part marking is required, it shall be performed only as specified on this Purchase Order, the applicable engineering drawing, specification, or customer requirement.

-Unless otherwise specified, the supplier shall maintain records related to Minter Industries LLC jobs for 10 years after delivery.  After document retention for 10 years is reached,  the supplier can appropriately destroy the records (preferred method is shredding documents).

-This PO supports work for Collins Aerospace. Suppliers and their sub-tier suppliers shall comply with ASQR-01-AA and COL-ASQR-PRO-0003, which can be accessed at https://www.collinsaerospace.com/Suppliers.
